TERMS AND CONDITIONS OF THE SERVICE

ACCEPTABLE USE AGREEMENT

Please read the following User Agreement. When you sign up for any service within EliteGlobalTrading.com (Website) all of which are hereinafter referred to collectively as the "Service", you agree to all of the terms and conditions of this Agreement.

IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, YOU MAY NOT USE THE SERVICE, AND SHOULD NOT PROCEED TO CONTACTING US. BY USING THE SERVICE AFTER AUGUST 20, 2008 YOU ARE AGREEING TO BE BOUND BY THIS SERVICE AGREEMENT, INCLUDING ALL AMENDMENTS MADE TO DATE.

This Agreement sets out the legally binding terms of your use of the Website and may be modified by EliteGlobalTrading.com from time to time., Such modifications to be effective upon posting by EliteGlobalTrading.com on the Website. This Agreement includes EliteGlobalTrading.com's Acceptable Use Policy for Content Posted on the Website, EliteGlobalTrading.com's Privacy Policy, and any notices regarding the Website.

Elite Global Trading, LLC shall not be liable for any loss or damage caused by the usage of any information obtained from this site.

We strongly recommend that stringent due diligence checks are undertaken on all parties involved in any major transaction, even those parties with established trading records. At the very least, banks and buyers should be establish that the proposed beneficiaries are able to provide the noted commodity at the stated price.

ELITE GLOBAL TRADING LLC SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT. ELITE GLOBAL TRADING LLC DOES NOT WARRANT THAT YOUR USE OF THE SERVICE OR THE SITE WILL BE SECURE, UNINTERRUPTED, ALWAYS AVAILABLE OR ERROR-FREE, OR WILL MEET YOUR REQUIREMENTS, OR THAT ANY DEFECTS IN THE SERVICE OR THE SITE WILL BE CORRECTED. ELITE GLOBAL TRADING LLC DISCLAIMS LIABILITY FOR, AND NO WARRANTY IS MADE WITH RESPECT TO, TELEPHONE OR OTHER SERVICE, INCLUDING COVERAGE, RANGE, OR ANY INTERRUPTION IN TELEPHONE OR OTHER SERVICE.

LIMITATION OF LIABILITY.

IN NO EVENT WILL ELITE GLOBAL TRADING LLC BE LIABLE (i) TO YOU FOR ANY INCIDENTAL, CONSEQUENTIAL, OR INDIRECT DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF DATA, LOSS OF PROGRAMS, COST OF PROCUREMENT OF SUBSTITUTE SERVICES OR SERVICE INTERRUPTIONS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SERVICE OR THE SITE, EVEN IF ELITE GLOBAL TRADING LLC OR ITS AGENTS OR REPRESENTATIVES KNOW OR HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR (ii) TO ANY PERSON OTHER THAN YOU. NOTWITHSTANDING ANY CONTRARY PROVISION HEREIN BUT SUBJECT TO THE FOREGOING LIMITATION ON LIABILITY.

Disputes. If there is any dispute about or involving the Website and/or the Service, by using the Website, you agree that the dispute will be governed by the laws of the State of Hawaii without regard to its conflict of law provisions. You agree to personal jurisdiction by and venue in the state and federal courts of the State of Hawaii.

Indemnity. You agree to indemnify and hold Elite Global Trading LLC, its subsidiaries, affiliates, officers, agents, and other partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorney's fees, made by any third party due to or arising out of your use of the Service in violation of this Agreement and/or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth above.

Other. This Agreement, accepted upon use of the Website and further affirmed by becoming a Member of the Service, contains the entire agreement between you and Elite Global Trading LLC regarding the use of the Website and/or the Service. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect.
